A peer-reviewed scientific study on the role of Artificial Intelligence (AI) in enhancing corporate governance confirmed that AI significantly contributes to achieving corporate governance goals. The study noted that companies are increasingly seeking to leverage AI to enhance their capabilities, increase productivity, and keep pace with rapid developments in commercial and industrial markets. AI also boosts a company's competitiveness and helps execute and monitor corporate strategies.
The study, which was part of a doctoral thesis presented by Badr Abdel-Karim Hamdan Al-Ziyoud—for which he was awarded a PhD in Law from Mansoura University in Egypt—indicated that AI enhances both external and internal oversight of corporate operations. When properly utilized, AI systems ensure compliance with laws, regulations, company policies, and financial, economic, and social visions. It also helps mitigate administrative and financial corruption, reduces improper oversight practices, highlights organizational weaknesses, and identifies the skills required to address structural imbalances.
The study revealed that utilizing AI to activate corporate governance mechanisms accelerates digital transformation. The use of AI aligns with prevailing legislations concerning the digital preservation of corporate documents, while facilitating disclosure and oversight. Modern corporations fully harness the capabilities of AI systems to benefit in financial markets. The study highlighted a complete interconnectedness between corporate governance and IT governance, noting that information governance is an integral part of corporate governance, and applying both enhances corporate operational efficiency.
Furthermore, corporate governance through AI strengthens trust between companies, their clients, and employees. It addresses expertise gaps and heightens transparency by encouraging adherence to accounting principles, which results in proper disclosure. The study also emphasized the importance of AI in mitigating cyber breaches, preserving data confidentiality, preventing leaks, and ensuring that critical information reaches decision-makers at the right time.
The study recommended adopting modern governance requirements in light of digital transformation and utilizing AI to provide advanced services, while defining legal liability for decisions supported by AI systems. It called for mandating companies to establish clear digital governance policies, enhancing oversight of AI systems to ensure they do not conflict with transparency and data protection principles, and integrating the concept of "digital governance" into commercial legislation systems.
